₦2.15trn share sale now closes October 27
4.1 billion ordinary shares offered at ₦525 each
Extension to widen access for investors across Africa
Dangote Petroleum Refinery and Petrochemicals FZE has extended the application period for its Initial Public Offering (IPO) by two weeks, moving the closing date from October 13 to October 27, 2026, following approval from the Securities and Exchange Commission (SEC).
The extension is expected to provide prospective investors with additional time to participate in the landmark share sale, which seeks to raise approximately ₦2.15 trillion through the offer of 4.1 billion ordinary shares at ₦525 per share.
The company announced the extension on Monday, October 12, 2026, explaining that the additional period would support efforts to expand access to the offer across African markets and accommodate the strong interest recorded among eligible investors.
The extension will also facilitate ongoing initiatives to improve distribution channels and implement depositary receipt programmes designed to broaden participation in the offer beyond Nigeria.
The development represents a significant milestone for the refinery’s public offer, which opened on September 14, 2026, and is widely regarded as one of the most ambitious capital market transactions in Nigeria and Africa.
DANGOTE SEEKS BROADER INVESTOR PARTICIPATION
The public offer provides eligible investors with an opportunity to acquire shares in Dangote Petroleum Refinery and Petrochemicals FZE, the company behind the massive industrial facility located in the Lekki Free Zone, Lagos State.
The offer comprises 4.1 billion ordinary shares priced at ₦525 each, with a minimum subscription of 10 shares, amounting to ₦5,250, before applicable charges. Subsequent applications are to be made in multiples of 10 shares.
The proposed share sale is designed to expand the company’s shareholder base and enable more Nigerians and other eligible investors to participate in the ownership of one of Africa’s most significant industrial investments.
The extension is particularly important for prospective investors who require additional time to complete account-opening procedures, identity verification and other regulatory requirements necessary to participate in the offer.
The initiative to widen participation across African markets also reflects growing interest in creating opportunities for investors to support major industrial enterprises through capital market investments.
A MAJOR TEST FOR NIGERIA’S CAPITAL MARKET
The Dangote Refinery IPO is attracting considerable attention because of its size, the strategic importance of the refinery to Nigeria’s energy sector and its potential implications for the country’s capital market.
The proposed ₦2.15 trillion fundraising represents a major opportunity to mobilise domestic and regional investment for industrial expansion.
The transaction also provides a test of the capacity of Nigeria’s capital market to accommodate large-scale public offerings and encourage broader participation by retail investors.
Beyond fundraising, the offer could help deepen investment culture in Nigeria by exposing more individuals to share ownership and providing an avenue for citizens to participate in the growth of major private-sector enterprises.
However, financial analysts have emphasised the importance of investors understanding the risks associated with equity investments, including the possibility of fluctuations in share prices and the fact that returns are not guaranteed.
REFINERY’S STRATEGIC IMPORTANCE
The Dangote Refinery is one of the largest single-train refineries in the world and a major investment in Nigeria’s petroleum industry.
The facility was established to strengthen domestic refining capacity, reduce dependence on imported petroleum products and support the country’s long-term energy security.
Its operations are also expected to contribute to industrial development, job creation and the expansion of economic activities linked to petroleum refining and petrochemicals.
The refinery’s public offer comes as Nigeria continues to seek greater domestic investment in strategic sectors of the economy and more effective mobilisation of capital for large-scale industrial projects.
For the Dangote Group, the IPO provides an opportunity to broaden ownership of the refinery while accessing the capital market as part of its longer-term business and expansion plans.
INVESTORS ADVISED TO USE APPROVED CHANNELS
With the offer period now extended to October 27, prospective investors have been advised to obtain information from official sources, carefully review the approved prospectus and submit applications only through SEC-approved receiving agents and subscription platforms.
The Securities and Exchange Commission has cautioned investors against transferring money to unauthorised individuals or entities claiming to facilitate subscriptions or guarantee share allocations.
Investors have also been advised to verify the authenticity of subscription platforms and understand the terms, conditions and risks of the offer before committing their funds.
The new closing date gives eligible investors an additional two weeks to complete their applications as the refinery seeks to broaden participation in what is shaping up to be a landmark transaction for Nigeria’s capital market.
With the offer now scheduled to close on October 27, attention will focus on the level of investor participation, the final subscription outcome and the implications of the share sale for the refinery’s future growth and Nigeria’s investment landscape.
